{"id":3252,"date":"2017-12-04T16:07:06","date_gmt":"2017-12-04T16:07:06","guid":{"rendered":"http:\/\/my-brains.co.uk\/jackross\/?p=3252"},"modified":"2017-12-04T16:33:27","modified_gmt":"2017-12-04T16:33:27","slug":"accounts-limited-companies","status":"publish","type":"post","link":"https:\/\/my-brains.co.uk\/jackross\/accounts-limited-companies\/","title":{"rendered":"Accounts for limited companies"},"content":{"rendered":"<p><em>Audits may be a thing of the past, but certain annual reports still apply. <\/em><\/p>\n<p>If you\u2019re a business owner, you may be familiar with the process of submitting your accounts for official inspection by an independent body. This is known as an audit.<\/p>\n<p>You may also breathe a sigh of relief as most small businesses are no longer required to get their financial statements audited after the exemption thresholds were increased for financial years that begin on or after 1 January 2016.<\/p>\n<p>However, shareholders can still request your accounts be subjected to an external audit if they own at least a 10% stake in your business.<\/p>\n<p>On the other hand, some firms voluntarily choose to be audited to ensure all financial reporting is in line with current accounting standards and legislation.<\/p>\n<p>Even though audits may be a distant memory for most business owners, certain annual reports are still required by law and failure to submit them to deadline <span style=\"color: #000000;\">can lead to severe penalties.\u00a0<\/span><\/p>\n<h1><span style=\"color: #98012e;\">Statutory accounts<\/span><\/h1>\n<p>All companies are legally obliged to file statutory accounts on an annual basis with HMRC as part of their company tax return.<\/p>\n<p>These are prepared from your financial records before being reported at your financial year-end.<\/p>\n<p>Your statutory accounts should include:<\/p>\n<p><span style=\"color: #98012e;\"><strong>A balance sheet<\/strong><\/span> showing the assets owned by the company, any outstanding debts and anything your business is owed on the last day of your financial year.<\/p>\n<p><span style=\"color: #98012e;\"><strong>A profit and loss account<\/strong> <\/span>outlines the company\u2019s sales, running costs and the profits or losses made over the course of the financial year.<\/p>\n<p><span style=\"color: #98012e;\"><strong>A director\u2019s report <\/strong><\/span>will explain the financial state of the company and its compliance with a set of financial, accounting and corporate standards (the very smallest companies, known as micro entities, don\u2019t need to produce a director\u2019s report).<\/p>\n<p><span style=\"color: #98012e;\"><strong>An auditor\u2019s report <\/strong><\/span>may be needed depending on the size of the company.<\/p>\n<p>You must send copies of your accounts to:<\/p>\n<ul>\n<li>shareholders<\/li>\n<li>anyone who can go to your company\u2019s general meetings<\/li>\n<li>HMRC<\/li>\n<li>Companies House.<\/li>\n<\/ul>\n<h1><span style=\"color: #98012e;\">Abridged accounts<\/span><\/h1>\n<p>Small businesses and micro entities can no longer submit abbreviated accounts to Companies House \u2013 unless they relate to accounting periods beginning before 1 January 2016.<\/p>\n<p>Previously, you may have prepared your full accounts for your members and abbreviated accounts for filing on the public record.<\/p>\n<p>However, you may be able to send abridged accounts instead of full accounts to Companies House.<\/p>\n<p>These contain a simpler balance sheet which means less information about your company will be publicly available.<\/p>\n<p>Abridged accounts are prepared in a similar way to abbreviated accounts, although the decision to abridge all or part of your annual accounts must be universally pre-agreed by your members.<\/p>\n<p>Members\u2019 consent must be obtained in the previous financial year and an accompanying statement must contain the sentence: \u201cmembers have consented to the abridgement\u201d to outline their approval before the accounts are filed with Companies House.<\/p>\n<p>A company is considered <strong>small<\/strong> if it meets two of the following criteria:<\/p>\n<ul>\n<li>annual turnover of \u00a310.2 million or less<\/li>\n<li>assets worth \u00a35.1 million or less<\/li>\n<li>50 or fewer employees.<\/li>\n<\/ul>\n<p>Your company may be able to disclose less information than a small business if it is classed as a <strong>micro entity<\/strong>.<\/p>\n<p>To qualify as a micro entity, your business must meet two of the following the criteria:<\/p>\n<ul>\n<li>annual turnover of \u00a3632,000 or less<\/li>\n<li>assets worth \u00a3316,000 or less<\/li>\n<li>10 or fewer employees.<\/li>\n<\/ul>\n<p>Owners of micro entities can prepare simpler accounts to meet statutory minimum requirements, such as sending a balance sheet containing less information to Companies House.<\/p>\n<h1><span style=\"color: #98012e;\">Record keeping<\/span><\/h1>\n<p>Your business is legally obliged to keep company records as well as financial and accounting records.<\/p>\n<p>Records should usually be kept for at least six years from the end of a tax year.<\/p>\n<h2><span style=\"color: #98012e;\">Company records<\/span><\/h2>\n<p>Company records you are obliged to keep include:<\/p>\n<ul>\n<li>details of company directors, shareholders and secretaries<\/li>\n<li>loans or mortgages secured against company assets<\/li>\n<li>indemnity promises<\/li>\n<li>debentures promises (for the company to repay loans at specific dates in the future)<\/li>\n<li>results of shareholder votes or resolutions<\/li>\n<li>transactions when someone buys company shares.<\/li>\n<\/ul>\n<p>In addition, you must also keep a register of <strong>people with significant control <\/strong>in your business. This should contain details of anyone who:<\/p>\n<ul>\n<li>owns more than a 25% stake in your company<\/li>\n<li>has the power to remove or appoint directors<\/li>\n<li>can influence or control your company.<\/li>\n<\/ul>\n<h2><span style=\"color: #98012e;\">Accounting records<\/span><\/h2>\n<p>Among other things, your accounting records should include all income and expenditure plus details of any assets, debts or stocks either owned or owed at the end of your company\u2019s financial year.<\/p>\n<p>You should also retain any invoices, receipts and any other documents you may need to prepare or file your annual company tax return.<\/p>\n<p>Failure to maintain accounting records could land you a \u00a33,000 fine.<\/p>\n<p><span style=\"color: #98012e;\"><strong>Penalties<\/strong><\/span><\/p>\n<p>Failing to send your accounts to Companies House on time will incur a penalty. The following penalties will apply:<\/p>\n<table width=\"300\">\n<tbody>\n<tr>\n<td width=\"158\"><span style=\"color: #98012e;\"><strong>Time after deadline<\/strong><\/span><\/td>\n<td width=\"142\"><span style=\"color: #98012e;\"><strong>Penalty<\/strong><\/span><\/td>\n<\/tr>\n<tr>\n<td width=\"158\">Up to 1 month<\/td>\n<td width=\"142\">\u00a3150<\/td>\n<\/tr>\n<tr>\n<td width=\"158\">1 to 3 months<\/td>\n<td width=\"142\">\u00a3375<\/td>\n<\/tr>\n<tr>\n<td width=\"158\">3 to 6 months<\/td>\n<td width=\"142\">\u00a3750<\/td>\n<\/tr>\n<tr>\n<td width=\"158\">More than 6 months<\/td>\n<td width=\"142\">\u00a31,500<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p>&nbsp;<\/p>\n<p>You can appeal against late penalties but must provide a valid reason.<\/p>\n<p>You can\u2019t appeal penalties by claiming:<\/p>\n<ul>\n<li>your company is dormant<\/li>\n<li>you cannot afford to pay<\/li>\n<li>it\u2019s the fault of your accountant<\/li>\n<li>you don\u2019t know how to file your accounts<\/li>\n<li>your accounts were delayed or lost in the post<\/li>\n<li>the directors live, or were travelling, overseas.<\/li>\n<\/ul>\n<p><span style=\"color: #98012e;\"><strong>Deadlines<\/strong><\/span><\/p>\n<p>The deadline for filing your accounts for the first time is 21 months after the date you incorporated your company with Companies House.<\/p>\n<p>If you\u2019re filing your accounts annually, the deadline is nine months after the end of your company\u2019s financial year.<\/p>\n<p>Companies House may extend the deadline if your business is prevented from sending your accounts due to circumstances beyond your control, or if you apply for more time before the deadline has passed.<\/p>\n<h1><span style=\"color: #98012e;\">Reasons for being audited<\/span><\/h1>\n<p>All private limited companies are subject to annual statutory audits unless they meet two of the following conditions:<\/p>\n<ul>\n<li>annual turnover of no more than \u00a310.2 million<\/li>\n<li>assets worth no more than \u00a35.1 million<\/li>\n<li>50 or fewer<\/li>\n<\/ul>\n<h1><span style=\"color: #98012e;\">The audit process<\/span><\/h1>\n<p>Audits are conducted by external auditors. These are usually independent accountants who ensure your financial statements are accurate and compliant with UK GAAP.<\/p>\n<p>There are five stages to an audit:<\/p>\n<ul>\n<li>planning the audit approach<\/li>\n<li>testing the company\u2019s internal financial controls<\/li>\n<li>evaluating the company\u2019s recording of transactions<\/li>\n<li>analysing or testing a company\u2019s financial records<\/li>\n<li>producing an auditor\u2019s report.<\/li>\n<\/ul>\n<p>The auditor will ensure they understand your business\u2019 industry, regulators, accounting policies, objectives and strategies, and business risks before commencing the audit.<\/p>\n<p>They will check financial records, receipts, invoices, bank statements and compare financial information with non-financial company information to check consistency.<\/p>\n<p>The auditor\u2019s final report will include their conclusion as to whether the company\u2019s financial statements are accurate and fairly presented before signing it, dating it and filing it with Companies House.<\/p>\n<p><strong><em>Speak to a member of our team today by either calling us on 0161 832 4451 or via email at <a href=\"mailto:info@jackross.co.uk\">info@jackross.co.uk<\/a>.<\/em><\/strong><\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Audits may be a thing of the past, but certain annual reports still apply.
